Aberdeen (ABDN) to assume management of Herald trusts in strategic expansion

Aberdeen Investments (LSE:ABDN) has agreed to become the new investment manager for Herald Investment Trust and the Herald Worldwide Technology Fund, adding approximately £1.6 billion in assets under management to its London-based closed-end funds platform. The transaction will also bring eight employees into the group, including prominent fund manager Katie Potts. Aberdeen said the agreement strengthens its capabilities in technology and smaller-company investing while broadening distribution opportunities for the Herald strategies.

Tender offer launched alongside Saba standstill agreement

As part of the arrangement, Herald has initiated a tender offer covering up to 66% of its issued share capital. The proposal gives Saba Capital and other investors the opportunity to exit at close to net asset value or continue holding shares under the new management structure. The transition to Aberdeen as investment manager is expected to complete during the third quarter of 2026, subject to shareholder and regulatory approvals.

Aberdeen and Saba have also entered into a three-year standstill agreement relating to voting rights at Herald. In addition, Aberdeen has offered similar arrangements to as many as eight other investment trusts under its management, representing approximately £12.5 billion in combined assets. The agreements are intended to ease shareholder tensions, improve governance stability and support the long-term positioning of the trusts involved.

Financial recovery supports outlook despite market pressures

The company’s outlook is supported by improving financial performance, including recovering profitability, stronger free cash flow generation and relatively low, declining leverage levels. Aberdeen’s valuation metrics are also viewed favourably, with a comparatively low price-to-earnings ratio and a high dividend yield. However, these positives are partially offset by weak technical trading momentum and concerns highlighted in recent earnings discussions around adviser profitability, margin pressures and the expectation of near-term outflows despite management reaffirming its 2026 targets.
