Gulf Keystone Announces $601 Million All-Share Merger With ShaMaran Petroleum

Oil pump at sunset

Gulf Keystone Petroleum (LSE:GKP) has announced a $601 million all-share merger with ShaMaran Petroleum (USOTC:SHPLF), a transaction that would create one of the largest oil producers in Iraq’s Kurdistan region.

Under the terms of the agreement, ShaMaran shareholders will receive 0.07533958 new Gulf Keystone shares for each ShaMaran share they hold.

Following completion, existing shareholders of Gulf Keystone and ShaMaran are expected to own approximately 50% each of the combined company.

The transaction will bring together two oil producers operating in Iraqi Kurdistan, consolidating their interests within a single publicly traded business.

The companies have not disclosed additional production forecasts, expected cost savings or financial performance targets for the merged entity in the announcement.

Gulf Keystone Plans to Move Primary Listing to Oslo

Alongside the merger, Gulf Keystone announced plans to transfer its primary stock market listing to the main list of Euronext Oslo Børs.

The company intends to discontinue its London listing at a later stage, marking a significant change in its capital markets presence.

The proposed move would shift Gulf Keystone’s principal trading venue from London to Norway, where ShaMaran is based.

For existing Gulf Keystone shareholders, the planned delisting from London is an important consideration, as it would change the market through which investors can trade the company’s shares.

Further details regarding the timing and implementation of the listing changes have not been provided.

Merger Reflects Consolidation Among Kurdistan Oil Producers

The agreement comes amid increased merger and acquisition activity involving oil companies with operations in the Middle East.

Higher crude oil prices associated with the ongoing regional conflict have provided a backdrop for corporate transactions across the sector.

Gulf Keystone and ShaMaran both operate in Iraq’s Kurdistan region, where several internationally listed energy companies maintain production interests.

Other companies active in the region include Genel Energy (LSE:GENL) and Norway’s DNO.

Genel and DNO are separately competing to acquire Capricorn Energy (LSE:CNE), highlighting further consolidation activity among companies with exposure to regional oil production.

The Gulf Keystone-ShaMaran transaction would combine the two businesses through an equity exchange rather than a cash acquisition.

As a result, shareholders in both companies would retain an ownership interest in the merged business, rather than receiving cash proceeds for their existing holdings.

What the Merger Means for Gulf Keystone Investors

For Gulf Keystone shareholders, the proposed transaction represents a substantial change in the company’s ownership structure and corporate organisation.

The approximately equal ownership split means existing Gulf Keystone investors would collectively hold around half of the enlarged business following completion.

The merger could provide opportunities to coordinate operations and investment across the combined company’s assets, although no quantified financial benefits have been announced.

The planned move to Euronext Oslo Børs also introduces considerations relating to trading arrangements and market access for investors currently holding London-listed shares.

The transaction remains subject to completion, and the supplied announcement does not specify a closing date or detail the conditions that must be satisfied.

Investors will be monitoring further disclosures concerning the merger timetable, shareholder approvals where applicable, the combined company’s operating plans and the transition of Gulf Keystone’s primary listing to Oslo.

Additional information on production capacity, financial expectations and potential integration benefits will be important in assessing the longer-term implications of the $601 million agreement.
