Nativo Resources Plc (LSE:NTVO) has raised £300,000 through the issue of 142,857,143 new ordinary shares as part of a subscription arrangement involving Chancery Royalty Limited and investors introduced by Chancery.
The precious metals company said the funds will support its gold mining and processing activities in Peru, where it is developing an integrated business covering mineral extraction, ore processing and gold recovery from tailings.
The newly issued shares form Tranche A of the subscription arrangement. Nativo confirmed that the structure has been revised to allow both Chancery Royalty Limited and its introduced investors to participate across Tranche A and Tranche B.
The combined subscription comprises 285,714,286 ordinary shares across the two tranches.
Alongside the equity fundraising, Nativo is granting 142,857,143 warrants to participating investors, equivalent to one warrant for every two subscription shares issued across the combined tranches.
The warrants will be exercisable at 0.32 pence per share for a period of three years. The exercise price represents a 52% premium to the subscription price.
If exercised, the warrants would provide Nativo with additional equity funding, although any proceeds will depend on investors choosing to exercise their rights before expiry.
The company has applied for the Tranche A Subscription Shares to be admitted to trading on AIM.
Following admission, Nativo’s issued share capital will increase to 1,657,207,761 ordinary shares. This figure will also represent the company’s total voting rights, providing the updated denominator for shareholders calculating their interests under applicable disclosure requirements.
The issue of new shares increases the number of ordinary shares in circulation, while the warrants create the possibility of further share issuance if exercised.
Nativo intends to use the additional funding to support its activities in Peru, including the development of its gold mining and processing operations.
The company’s strategy includes establishing gold production and progressing the La Patona Gold Ore Processing Plant, which is intended to process material from both Nativo’s own projects and third-party sources.
Its planned operations also include the recovery of gold from historical tailings, alongside conventional mining and ore processing activities.
Nativo has acquired or secured options over several projects in Peru and continues to assess additional opportunities associated with its mining and processing strategy.
The company also maintains an online investor hub and social media channels as part of its shareholder communications activities.
The latest subscription provides £300,000 in new equity funding, with the associated warrants offering the possibility of further capital receipts over the next three years, subject to exercise.
